In addition to the Terms and Conditions of Use for the ICC Website, the following ICC Website Participant Agreement applies to the password-protected, participant-only sections hereof, which comprise sensitive and proprietary resources, including, but not limited to, personally identifiable information, protected health information, proprietary database access, knowledge repositories, and ICC committee information.

Use of these resources entails responsibilities for the ICC employee, member, participant, contractor, client, or vendor, along with an expectation of professional conduct. This agreement contains the terms and conditions that apply to your use of the password-protected, participant-only environment. Your attention to these responsibilities will help protect and ensure the environment's effective operation, and the associated success of the ICC and its members, participants and clients, and lead to improved health outcomes for the patients in our community.

By logging into the environment, you consent to ALL the terms of this agreement. From time to time the terms of this agreement may change and you will be notified of such changes. Your subsequent use of the environment implies your continued consent to this agreement.

I understand and agree to follow these terms when I access, submit, or manage content in the ICC password-protected, participant-only environment:

• Attest that I am authorized to access and use the information in the password-protected, participant-only environment on the ICC website;
• Will only access those portions of the password-protected, participant-only environment of the ICC website that I am legally authorized to access;
• Acknowledge and agree that I am legally obligated to abide by any legal, regulatory or contractual restrictions on sharing content, including but not limited to:
• The Health Insurance Portability and Accountability Act of 1996 ("HIPAA") and regulations promulgated thereunder;
• The Health Information Technology for Economic and Clinical Health Act of 2009 ("HITECH") and regulations promulgated thereunder;
• The Gramm-Leach-Bliley Act of 1999 ("GLB") and regulations promulgated thereunder;
• Any and all agreements between me or my company and the ICC (e.g., a Business Associate Agreement);
• Will not, without the proper restrictions and/or agreements (e.g., BAA, NDA) in place, transmit proprietary or sensitive information of the ICC, its members, participants, clients, or vendors in any form to any person or entity other than as may be authorized by the ICC;
• Will not release or disclose financial, strategic, personally identifiable or protected health information to anyone not authorized to access that information. If I believe I need to disclose such information to anyone other than people authorized to access it, I will not disclose such information until I receive written authorization from the ICC;
• Will not transmit proprietary or sensitive member, participant or client information in any form to any external entities or individuals without prior written approval from both the ICC and the affected member, participant or client;
• Will ensure when submitting content to the password-protected, participant-only environment that I submit the content with appropriate access controls, so that the content is accessible only to those groups and/or individuals who should have access to it; and/or ensure that the submission violates no export laws or regulations or copyright laws;
• Acknowledge any personal information I submit to is governed by the ICC Privacy Policy;
• Will not upload or transmit any communications or content of any type to the password-protected, participant-only environment (including blogs, message boards, etc.) that infringe or violate any rights of any party;
• Warrant that for any personally identifiable or protected health information that I upload to the password-protected, participant-only environment, I or my company has on file all necessary consents or authorizations, signed by the patient or his/her authorized representative;
• Acknowledge and agree that it is strictly prohibited to upload materials of any kind that contain expressions of hate, abuse, offensive images or conduct, obscenity, pornography, sexually explicit or any material that could give rise to any civil or criminal liability under applicable law or regulations or that otherwise may be in conflict with this agreement or the ICC Privacy Policy;
• Will not upload any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or this website

I furthermore agree as follows:

• Postings in the ICC password-protected, participant-only environment by individuals (for example, in discussion threads, Wikis, or blogs) are the users' own and do not necessarily represent the ICC's, its members', participants', or clients' positions, strategies, or opinions.
• I will clearly indicate whether any views I express in the ICC password-protected, participant-only environment are mine alone or are an expression of the authorized view of the ICC and/or the company I represent.
• Views expressed by outside contributors, including ICC members, participants, clients or vendors, to the ICC password-protected, participant-only environment may not represent the views of the ICC, its management, or employees. The ICC is not responsible and disclaims any and all liability for the content of comments written by such outside contributors.
• I am obligated to comply with applicable guidelines, terms of use, and ICC management policy statements.
• I am responsible for taking all reasonable steps to ensure that no unauthorized person will have access to my ICC password or account. It is my sole responsibility to (1) control the dissemination and use of activation codes and passwords; (2) authorize, monitor, and control access to and use of my ICC account and password; (3) promptly inform ICC of any need to deactivate a password. By signing up for a participant account and using the password-protected, participant-only environment on the ICC website, I am granting the ICC and all other persons or entities involved in the operation of the website the right to transmit, monitor, retrieve, store, and use my information in connection with the operation of the site. The ICC cannot and does not assume any responsibility or liability for any information I submit, or third parties' use or misuse of information I submit.
• I will defend, indemnify, and hold the ICC, its officers, directors, employees, agents, licensors, and suppliers, harmless from and against any claims, actions or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from, my violation of this agreement.
